PURPOSES OF ORGANIZATION
Sec.  1.            This organization shall be known as the New England Association of

                        Chiefs of Police, Inc.

Sec.  2.            The purposes for which this Association is organized are to secure an

official and personal relationship among the Chiefs of Police, Superintendents of Police, and the Chief Commanding Officers of all Police Departments in the New England States; to advance the science pertaining to the prevention and detection of crime and the apprehension of criminals; to elevate the standards of police service; to uphold the honor and integrity of the profession and conduct; and to transact the business of a police association.

Sec.  3             The procedure and the business of this association shall be conducted under ROBERTS RULES OF ORDER, in accordance with the rules and regulations of the Association as set forth in its Constitution and By-Laws when, and as, they are adopted, amended, or rescinded by a two-thirds (2/3) majority vote of all the Active, Active Life, and Life members present at any Annual or Regular meetings of this Association.

                        Amendment: To provide that Life Members shall have voting privileges.  September 13, 1994.

MEMBERSHIP

Sec.  1.            Membership in this Association shall consist of Active, Active Life, Life, Professional Associate, Associate, Honorary, and Sustaining members.

                        Amendment: To include Sustaining members as a category of membership.  September 22, 1992.

                                Amendment: Associate Professional membership renamed Professional Associate. September 21, 2004.

 

Sec.  2.            ACTIVE members shall consist of Chiefs of Police, Superintendents of Police, City or Town Marshals, duly appointed Police Commissioners, or other such designated title where the individual is the commanding officer

                        of such department and receives a salary from any legally constituted law enforcement agency of the Federal Government, or of a State, County, or

Municipality (City or Town) within the States of Connecticut, Maine, Rhode Island, Massachusetts, New Hampshire, Vermont, herein after referred to as the New England States.  However, no Active member shall be entitled to hold elective office in the Association unless he serves as a Chief of Police, Superintendent of Police, City or Town Marshal and/or the Commanding Officer of a State, County, or Municipality (City or Town).

 

Sec.  3.            ACTIVE LIFE members shall consist of those who have been voted life membership and continue to have actual command authority as defined in Article II, Sec. 2, and receive a salary from any legally constituted law enforcement agency of a State, County or Municipality (City or Town).

 

Sec.  4.            LIFE membership may be granted, subject to the provisions herein set forth:

 

  1. Past Presidents of this Association having completed their full term in office and having served the Association with Honor and Distinction; Active members in good standing who have retained active membership for twenty (20) continuous years; and Active members who retire from police service and, who at the time of their retirement, have retained Active membership for ten (10) continuous years.

Amendment: Modifies eligibility for Life Membership to include Active members who retire from police service with 10 continuous years of Association membership.  September 22, 1992.

 

Provided that Life membership shall not be granted under Section 4-A except by a majority vote of the Executive Committee in lawful meeting assembled and further, the individual receive a three-fourths (3/4) affirmative vote of the Active, Active Life, and Life members present at any Annual or Regular meeting of this Association.

 

Life members shall pay dues and assessments while in active membership status until retirement.

 

Life members, unless they meet the requirements of Active Life members, may hold no elective office.

Amendment: Provides that Life Members shall have voting privileges. September 13, 1994.

 

 

 

PROFESSIONAL ASSOCIATE MEMBERSHIP

 

Sec.  5.            PROFESSIONAL Associate members shall consist of any person not eligible for Active membership, but are qualified by training, experience, or position as a Command or Supervisory Officer, Prosecutor, Legal Advisor, or Legal Counsel in, or for any, duly constituted Federal, State, County, or Municipal law enforcement agency to include Deputy Chiefs, Captains, or any command or supervisory officer who may be elected to membership by a majority vote of the Executive Committee. 

Amendment: Broadens the definition of Professional Associate membership to include supervisory officers and authorizes the Executive Committee to elect to membership any individual so qualified. September 21, 2004.

 

ASSOCIATE MEMBERSHIP

 

Sec.  6.            Associate membership may be granted to persons not eligible for Active membership but are qualified by training and experience in police and related law enforcement interests and/or has achieved recognition by professional attainment in police science and administration.  Associate membership may also be conferred upon those persons who, by interest, support, and concern have contributed to the objectives and programs of this Association.

 

HONORARY MEMBERSHIP

 

Sec.  7.            Honorary membership may be conferred on those persons of good character who support and sustain the purposes and objectives of this Association as set forth in Article I, Sec. 2 and/or contribute to the effectiveness of its Active and/or Active Life members in the fulfillment of their duties and responsibilities.

 

                        Honorary membership must be recommended by an Active or Active Life member.

 

                        Honorary members shall pay no dues.

 

SUSTAINING MEMBERSHIP

 

Sec.  8.            Sustaining members shall consist of those persons who support and contribute to the Association.  Sustaining members shall pay dues and shall have their names listed in the Annual Yearbook Publication of the Association, if published.

                        Amendment: Sustaining Membership added as a membership classification.  September 22, 1992.

ELECTION OF MEMBERS

Sec.  1.            Application for Active membership shall be made in writing and signed by such applicant upon a form as may be directed by the Executive Committee and shall be transmitted to the Secretary.  Such application

must bear the endorsement of an Active or Active Life member or officer of this Association.  Such applicants may be elected to Active membership

                        only after receiving a majority vote of the Executive Committee in lawful meetings. 

Amendment: Provides that Life Members shall have voting privileges. September 13, 1994

Amendment:  Authorizes the Executive Committee to approve Association membership without further ratification by the general membership at an Annual Meeting. November 30, 2020.

 

Sec.  2.            Applications for Professional Associate membership must be endorsed by the Chief of Police or other Commanding Officer as defined in Article II, Sec. 2 of the City or Town in which the applicant resides; by an Active or Active Life member of the association; or by an Association Officer or Member of the Executive Committee.  Election to membership shall be according to the requisites in Section 1.

 

                        Applications for Associate membership must be endorsed by a Chief of Police of other Commanding Officer as defined in Article II, Section 2, of the State in which the applicant resides, provided such Chief of Police et al, is an Active of Active Life member of this Association or endorsed by an Association Officer or member of the Executive Committee.  Election to membership shall be according to the requisites in Section 1.

                        Amendment: Authorizes any Association Officer or Member of the Executive Committee to endorse applications for Professional Associate and Associate memberships.  September 21, 2004.

 

Sec.  3.            The Executive Committee, by a three-fourths (3/4) vote in lawful meeting assembled, may suspend from membership any person holding Active, Acting Life, Life, Professional Associate, Associate, Honorary and Sustaining membership in this Association for actions which, in the judgment of the Executive Committee, adversely affect the Association and those stated objectives as set forth in Article 1, Sec. 2, having first provided the member, whose suspension is under consideration, an opportunity to present his or her position before the Executive Committee.  The Executive Committee shall report such action at the next Annual or Regular meeting of the Association.

Amendment: Provides that Life Members shall have voting privileges. September 13, 1994.

Amendment:  Includes Professional Associate memberships.  September 21, 2004.

 

Amendment: Authorizes the Executive Committee to suspend memberships of persons whose actions adversely affect the Association without further ratification by the general membership; also requires the reporting of such action to the to the general membership at the next annual or regular meeting of the Association. November 30, 2020.

 

ASSOCIATION OFFICERS

Sec. 1. The Officers of this Association shall consist of a President, five (5) Vice-Presidents, a Sergeant-at-Arms, an Executive Director, a Secretary, and a Treasurer, all of whom shall hold their respective offices for one (1) year
or until their successor shall be elected. If during his term of office a member retires on ordinary or disability pension, he shall be eligible to complete the term of office to which he was duly elected; furthermore should the Officer retire on ordinary or disability pension within 90 days of the end of his term, he shall be deemed qualified to seek and be elected to the next higher office in the cycle. If he resigns or is dismissed for any reason, such resignation or dismissal shall be deemed a resignation from the office to which he was elected.
Amendment: Changed to allow Officers who retire within 90 days of the end of his term of office to be elected to the next higher office in the cycle. September 14, 2010.

Sec. 2. Each of the New England States, as previously defined, shall be represented among the President, Five (5) Vice-Presidents, and Sergeant-at-Arms and shall be the legal representatives of the Association on their respective States. The order of Office by States for the 1973-1974 year was as follows:

SERGEANT-AT-ARMS NEW HAMPSHIRE

Accordingly, the succession in office shall commence with Sergeant-at-Arms and progress until the office of President is reached, and the cycle will commence again. However, the holder of each office must meet the requirement in the office according to the schedule set forth above. The President and/or Vice-President of each state shall hold a meeting of all members of the New England Association of Chiefs of Police from their respective states present at the Annual Conference of the Association, after causing an announcement of such meeting to be held, given at a formal Conference Meeting and, further, such notice shall be posted on a bulletin board in a prominent place and in such a manner as to come to the attention of such members. This meeting under the Chairmanship of the President and/or Vice-President will consider Candidates for the offices of the Association as set forth in Article IV, Sec. 1, and two (2) members for the Board of Directors. A majority of the Active, Active Life, and Life members present and voting at such meeting will be required for its endorsement. A majority of the Active, Active Life, and Life members attending the State Meeting, from the participating State will be required for the quorum to hold such meeting and vote such endorsement. The meeting Chairman will report to the Nominating Committee the date and time of the meeting, the place, the existence of a quorum as set forth herein, and the results of the meeting. The meeting referred to herein must be held at least one (1) day before the actual balloting at the Association Conference commences.
Amendment: Changed to provide that Life Members shall have voting privileges. September 13, 1994.

Sec. 3. There shall be a Nominating Committee composed of six (6) Active, Active Life, and Life members, one (1) from each State appointed by the
President, who shall also designate the Chairman of this Committee. It shall be the duty of this Committee to nominate Officers as prescribed in Article IV, Sec. 1 of this Constitution, together with membership on the Executive Committee as set forth in Article VI, Sec. 2. The Nominating
Committee shall accept those nominations resulting from the meeting set
forth in Article IV, Sec. 2. Nominations may also be made from the floor during Annual Conference meeting for Secretary and Treasurer only. Nothing herein shall prevent the same person from being nominated and elected to both the offices of Secretary and Treasurer.
Amendment: Authorizes the appointment of Life Members to the Nominating Committee. Also provides that one member may be nominating and elected to serve as both Secretary and Treasurer. September 13, 1994.

Sec. 4. In the event of a vacancy in any of the offices as set forth in Article IV, Sec. 1, during the interval between the Annual Conference meeting or because the office is declared vacant by a three-fourths (3/4) vote of the Executive Committee, the said Executive Committee shall fill the vacant office with a designee required to receive a three-fourths (3/4) vote of the Executive Committee at the next Executive Committee meeting following the existence of the vacancy. The designee must reside in the state where the vacant office exists as it relates to the office of President, Vice-President, and Sergeant-at-Arms. The reference to the authority granted, herein, to the Executive Committee to declare an office vacant, other than by Death or Formal Resignation, is designed to enable the Association to carry on its lawful duties and obligations when, in the judgment of the Executive Committee, the individual or individuals holding an office are incapacitated to fill their duties. When an emergency of the nature set forth in this section relates to the office of President, a meeting of the Executive Committee shall be called by the First Vice-President, or any other officer in the order set forth in Article IV, Sec. 2.

Sec. 5. The President, the five (5) Vice-Presidents, the Secretary, Treasurer, and Sergeant-at-Arms shall be elected at the Annual Conference Meeting by a majority vote of the Active, Active Life, and Life members present and voting.

Sec. 6. There shall be an Executive Director and a Parliamentarian, both of who shall serve for one (1) year, or until their successors have been chosen. They will be nominated by the incoming President subject to approval of a majority of the Executive Committee at their lawful meeting prior to the Annual Conference Meeting.
Amendment: Established the Parliamentarian as a Constitutional Officer to be appointed in the same manner as the Executive Director. September 13, 1994

The Executive Director, the Parliamentarian, the Secretary and the Treasurer must be Active, Active Life, or Life members of this Association as set forth in this Constitution.
Amendment: Changed to provide include the Secretary and Treasure. September 14, 2010.

POWERS AND DUTIES OF OFFICERS

Sec.  1.            President: It shall be the duty of the President to preside at all meetings of the Association and at meetings of the Executive Committee.  He shall appoint Active, Active Life, and/or Life members of this Association and shall designate the Chairman of all Committees established in accordance with the provisions of the Constitution and Bylaws.  He shall announce the appointment of all committee members to the Secretary of the Association who shall give notice to the person appointed in writing.  The President shall have the power to fill all vacancies in any committee that might occur between meetings of the Association. 

                        Amendment:  Reference to specific committees (Crime Prevention, Criminal Science, Highway Safety, Membership, Public Relations, and Resolutions) deleted.  The Executive Committee may establish committees. (See ByLaws, Article VII, Section 2).  September 15, 1998.

 

                        It shall be the responsibility of the incoming President to recommend, subject to approval of the Executive Committee, the location where the next Annual Conference will be held.  The approved location shall be announced at the preceding Annual Conference.

                        Amendment: Authorizes the incoming President to recommend, subject to the approval of the Executive Committee, the location of the upcoming conference; also requires an announcement of the selected location at the preceding Annual Conference. November 30, 2020.    

 

Sec.  2.            Vice-Presidents: It shall be the duty of the Vice-President to perform all the duties of the President during his absence, and Vice-Presidents shall serve in the absence of the President or a Vice-President in order of their designation.

 

Sec.  3.            Executive Director: He shall have charge of the affairs of the Association under the direction of the Executive Committee.  He shall be responsible for providing staff support to the Conference Committee for the planning and supervision of the Annual Conference.  He shall submit an Annual Report of the affairs of the Association with such recommendations as are deemed proper for the good of the Association and such other reports, as are required by the Executive Committee.  He shall be a member of the Committee.

                        Amendment: Provides that rather than being solely responsible for the planning of the Annual Conference, the Executive Director provides staff support to the Conference Committee during its planning of the Annual Conferences.  November 30, 2020.

 

Sec.  4.            Secretary: It shall be the duty of the Secretary to keep a complete roll of the membership, to receive and answer all communications that may be submitted to him, and to perform such Association duties as may be required of him by the President of the Executive Committee.  He shall make a full report of the proceedings of each meeting of the Association and of the Executive Committee.  He shall also perform such secretarial

duties as may be assigned to him by the President.  He shall deliver to his successor all records and books of account duly balanced.

 

Sec.  5.            Treasurer: It shall be the duty of the Treasurer to receive all general funds belonging to this Association and to pay all orders drawn on him by

vote of the Association or, during the time intervening between the

Association meetings, by the Executive Committee when signed by the

President and by the Secretary.  He shall pay all orders drawn on him by

                        the President and countersigned by the Secretary to defray the expenses incurred in holding Executive Committee meetings, in accordance with Sec.  3 of Article VI of the Constitution.  He shall make a full report at the Association meetings of all monies received and disbursed by him.  He shall give bond to the Association in the amount and form fixed by the Executive Committee; the cost for said bond shall be paid by the Association.  He shall promptly deliver up all monies, books, papers,

                        and other property of the Association to his successor in office or to whomsoever the Association may delegate to receive the same.

 

Sec.  6.            Sergeant-At-Arms: It shall be the duty of the Sergeant-at-Arms to provide such assistance as may be required of him by the President in maintaining order and decorum at the various meetings of the Association and perform such other duties under the direction of the President, as may serve the needs of the Association.

EXECUTIVE COMMITTEE

Sec.  1.            How constituted: There shall be an Executive Committee which shall consist of the President, the five (5) Vice-Presidents, Executive Director, Secretary, Treasurer, and the Sergeant-at-Arms, two (2) immediate past Presidents of the Association and any member from the International Association of Chiefs of Police Board of Officers representing any of the New England States, two (2) members from each state, after due notification in writing from the President and/or Vice-President of that state to the Nominating Committee as referred to in Article  IV, Sec. 2.

 

Sec.  2.            Powers of Executive Committee: The Executive Committee shall have general charge of all the affairs of this Association.  They shall have full power and authority during the intervals between meetings of the Association.  They may remit the dues of any member, under special circumstances.  They shall make a report at the Association meetings.

 

Sec.  3.            Meetings: The Executive Committee shall convene at such time and place as may be directed upon the call of the President or upon the call of two-thirds (2/3) of the members thereof and two (2) weeks written notice of such meeting shall be given by the Secretary to every member of this Committee.

 

Sec. 3A.          Electronic Meetings: The President shall have authority or shall upon petition of a majority of the members of the Executive Committee, schedule an electronic meeting to act upon a specific matter in question. The electronic means and process authorized shall include, but not be limited to: 1) Email wherein the question to be decided along with sufficient background information shall be distributed with a time specified for accepting votes thereon; 2) A telephone conference call during which minutes shall be taken by the Secretary; or 3) Other electronic means that allow for full explanation or discussion of the matter at issue. Actions taken during such meeting shall be documented by the Secretary and affirmatively approved or rescinded at the next scheduled Executive Committee Meeting. 

                        Amendment: Authorized the President to conduct electronic meetings to address specific questions that may occur between scheduled Executive Board meetings.  November 30, 2020.

 

Sec.  4.            Quorum of Executive Committee:      A majority of one (1) more than half of the total number of the Executive Committee shall constitute a quorum

to transact the business of the Association.

 

Sec.  5.            Quorum of Association Meetings: Twenty-five (25) Active, Active Life, or Life members of the Association shall constitute a quorum to transact business at any meeting of the Association.

Amendment: Provides that Life Members shall have voting privileges and included in the quorum count.  September 13, 1994.

 

Sec.  6.            Meetings of the Association: The Executive Committee shall arrange for all meetings of the Association and one of the meetings shall be called “Annual Conference Meeting”, at which time the election of officers will take place.  Said Annual Meeting shall be held at a time designated by the Executive Committee.  The President will decide the date and city or town where all meetings of the Association take place.  The President shall call regular meetings of the Association upon written application of twenty-five (25) Active, Active Life, or Life members in good standing who shall state the reason for such meeting in their application.  Written notice of such meeting shall be sent two (2) weeks in advance of the date thereof to all Active, Active Life, and Life members in good standing by the Secretary and such notice shall state the reason for the call of such meeting.  The Executive Committee and the host Chief of the city or town where the meetings are to take place shall arrange the Program of all Association meetings.

Amendment: Provides that Life Members shall have voting privileges and the right to petition the President for a meeting.  September 13, 1994.

Amendment:  Authorizes the Executive Committee to designate the dates of the Annual Conference and eliminates the requirement to hold the Annual Conferences during the months of September, October, or November.  November 30, 2020.

 

Sec.  7.            Adoption and Amendments to the Constitution and By-Laws: The Constitution and By-Laws of this Association may be adopted, amended, or rescinded by a two-thirds (2/3) majority vote of the Active, Active Life, and Life members present at any Annual Conference Meeting, provided, however, that written notice of the proposed change shall have been provided to all Active and Life members at least ten (10) days in advance of the Annual Conference.  Any Active or Life member may propose amendments to the Constitution or ByLaws which shall be provided in writing to the Executive Committee for its recommendation at least 120 days prior to the Annual Conference.  Nothing contained in this Constitution shall prevent the Executive Committee, in lawful meeting

assembled, from adopting, amending, or rescinding any or all the By-Laws of this Association during periods that intervene between the Annual Conference meetings; and any such changes made by the Executive Committee shall become operative immediately and remain in full force and effect until they may be adopted, amended, or rescinded by a majority vote of all the Active, Life Active, and Life members present at any Annual or Regular meeting of this Association.

Amendment: Provides that Life Members shall have voting privileges.  September 13, 1994.

                        Amendment: Requires that members be given ten days written notice of proposed amendments to the Constitution and Bylaws and establishes a procedure for members to propose amendments.  September 15, 1998.

 

                        The Executive Committee, however, shall not have the power or the authority to adopt, amend, or rescind in whole, nor in part, the Constitution of this Association.

 

Sec.  8.            Association Fiscal Year: The financial year of this Association shall run from the first day of August of one year to the last day of July of the succeeding year and the record books and the accounts of the Secretary and the Treasurer shall be closed on the first day of August and shall

remain closed until they have been audited by a Certified Public Accountant in the respective state of the Treasurer.

DUES

Sec. 1. The Executive Committee shall have the authority to set the dues schedule for all members, Associate members, and Sustaining members. All other dues shall be set by two-thirds (2/3) majority vote of voting members at the Annual Conference.

Sec. 2. Any Active member that is in arrears attributed to nonpayment of dues at the time of the Annual Conference Meeting shall not be entitled to vote; and any Active member who is in arrears for the period of two (2) years shall be suspended. The secretary shall notify those under suspension, and if payment is not made within ten (10) days, the member will be deleted from the membership roster.

EXPENSES AND SALARIES

Sec.  1.            All expenses incurred by the Executive Committee in holding meetings, in accordance with Article VI, Sec.  3 of the Constitution shall be borne by the Association.  These expenses shall include traveling and other

necessary expenses of the members of the Executive Committee from their respective cities to and from Association meetings.

 

Sec.  2.            All expenses incurred by meetings of Committees other than the Executive Committee shall be borne by the Association, provided, however, that such meeting shall first be authorized by the President of the Association.

 

Sec.  3.            The Executive Committee shall have the authority to set the compensation for services rendered by the Executive Director, Secretary, and Treasurer which shall be on a per annum basis.

            Amendment: Provides authority for the Executive Committee to set compensation for the Executive Director, Secretary and Treasurer. November 30, 2020.

REQUIRED ATTENDANCE

Sec.  1.            If an Executive Committee member, without good and sufficient reason as determined by the President, fails to attend a scheduled meeting, the Secretary shall notify such member electronically or in writing within five working days after said meeting that a second absence, without good and sufficient reason, shall be deemed as a resignation from the Executive Committee.

                        Amendment:  Requires the Secretary, rather than the President, notify Executive Committee members, either electronically or in writing, of attendance requirements set forth in Article III, Sec. 2 below. November 30, 2020.

 

                               

Sec.  2.            If an Executive Committee member, without good and sufficient reason as determined by the President, fails to attend a second, scheduled meeting within a 12-month period, the member’s resignation will be deemed to have been accepted.

 

Sec.  3.            The Executive Committee will vote to approve the nomination of a replacement made by members of the delegation of the same state as the resigned member to fill the vacancy.

                        Amendment: To clarify and expedite the process for approving replacement members of the Executive Committee.  September 15, 2009.

Sec. 1. Every resolution shall be in writing and presented to the President, who shall refer them to the Resolutions Committee to be acted upon; and said Resolutions Committee will report all resolutions to the Association meeting, to be voted on in the form in which it was presented to said

Resolutions Committee who may reframe the resolutions referred to them as they see fit.

Sec. 1. The Association reserves to itself the power to exclude Professional Associate, Associate and Honorary members from any meetings of the Association by a majority vote of the Active, Active Life, and Life members present.
Amendment: Changed to provide that Life Members shall have voting privileges. September 13, 1994.
Amendment: Changed to provide authority to exclude Professional Associate members from meetings similar to that provided with regard to Associate and Honorary members. September 21, 2004.
Sec. 1. At the death of any member of the Association, the Vice-President representing the state where the deceased resided shall notify the President, Secretary, and Executive Director, and they shall decide if a suitable expression of sympathy shall be provided in memory of the member. They shall draw upon the Treasurer an amount consistent with the decision of the group.

Sec. 2. Memorial Committee: There shall be appointed annually by the President, a Memorial Committee to prepare and present at all meetings of the Association a list of members of the Association who have died during the previous year.

Sec. 1. Yearbook: The Executive Committee shall have the power to publish, or cause to be published, a yearly book to be called “The Proceedings of the Annual Conference of the NEACP, Inc.”
Amendment: References to commercial advertising in the annual publication deleted. September 22, 1992.

The Executive Committee shall establish the rules and regulations to be followed and shall authorize the contract to be executed. This action shall be by a majority vote of those present at the meeting.

The contract shall not be in excess of three (3) years duration. All monies received from the book shall be deposited in the NEACP account by the Treasurer; and withdrawal there from shall be made by the authority of the Executive Committee, as set forth in the Constitution and By-Laws.

Sec. 1. Auditing Committee: There shall be a Standing Auditing Committee appointed by the President of not more than three (3) who shall meet with the Treasurer and Accountants at quarterly meetings of the Executive Committee to confirm the reports of the Certified Public Accountants, as
submitted by the Secretary and Treasurer, and they shall make a report of their findings to the Executive Committee at the quarterly meetings and to the membership at the Annual Meeting. But nothing contained in this Article shall prevent the Executive Committee, as a whole or any committee lawfully appointed by them, from examining, auditing, or investigating the books, records, statements, or papers that are, at any time, in the custody or the possession of the Secretary or Treasurer of this Association.
Amendment: Establishes the Auditing Committee as a Standing Committee and requires the Committee to meet with the Treasurer and Accountants at quarterly Executive Committee meetings to confirm reports of the Certified Public Accountant. Also requires the Committee to report its findings to the Executive Committee at such meetings and to the membership at the Annual Meeting. September 22, 1992.

Sec. 2. Other Standing Committees: The President shall appoint the following Standing Committees. Each member so appointed shall serve for a term of one (1) year.

a. Budget and Finance Committee
b. By-Laws Committee
c. Conference Committee
d. Heroic Awards Committee
e. Membership Committee

The Executive Committee shall be authorized to establish or
Eliminate Standing Committees, as it may deem necessary.
Amendment: Establishes the following Standing Committees: Annual Publications,
Budget and Finance, Bylaws, Conference, Crime Prevention, Criminal Science, Drug
Prevention and Enforcement, Heroic Awards, Highway Safety, Jimmy Fund,
Membership, Public Relations, and Resolutions. Provides that the President appoints
Committee members for a one-year term. September 22, 1992.
Amendment: Deletes reference in this section to the Annual Publications, Crime
Prevention, Criminal Science, Drug Prevention and Enforcement, Highway Safety,
Jimmy Fund, Public Relations, and Resolutions Committees. Authorizes the Executive
Committee to establish or eliminate standing committees. September 15, 1998.

Sec. 3. Ad Hoc Committees: The President may appoint Ad Hoc Committees as may be necessary for the efficient carrying out of the objectives of the Association. All Ad Hoc Committees shall expire at the Annual Conference unless re-constituted by the newly elected President.
Amendment: Authorizes the President to appoint Ad Hoc Committees that expire at the Annual Conference unless re-constituted. September 22, 1992.

Sec. 3A.          Electronic Meetings:  Committee Chairs shall have authority to schedule electronic meetings to further committee objectives or to act upon a matter in question.  The electronic means and process authorized shall include, but not be limited to: 1) Email wherein the question to be decided along with sufficient background information shall be distributed with a time specified for accepting votes thereon; 2) A telephonic conference call; or 3) Other electronic means that allows for full explanation and discussion of the matter at issue.  Actions taken during such meeting shall be documented by a designated member of the committee and forwarded to the Secretary for review at the next schedules Executive Committee Meeting.

Amendment: New Section. Provides authority for Committee Chairs to conduct electronic meetings to further committee objectives or act on matters at issue.  November 30, 2020.

Sec. 4. The President may appoint, subject to approval of a majority of the Executive Committee at a lawful meeting, a Chaplain, Legal Counsel, Staff Accountants, or such other persons as may be necessary for the efficient conduct of Association business. Those persons so appointed shall attend meetings as may be required to advise and assist the President and the Executive Committee. Those persons so appointed shall serve until their successors are chosen, or they are removed by a majority vote of the Executive Committee.
Amendment: Authorizes the President to appoint certain officials as may be necessary to conduct Association business. September 22, 1992.
Amendment: Reference to the Parliamentarian eliminated. Parliamentarian established as a Constitutional Officer (see Article IV, Sec. 6).
